These Terms govern your access to and use of Podiummarkets.ai and related websites, applications, research tools, portfolio connectivity features, AI trading assistant Ivy, and paid subscription services provided by Podium Markets Media, LLC ("Podium," "we," "us," or "our"). These Terms govern the manner in which you may use and access our website, generative AI application available via the website at https://podiummarkets.ai/, and any other services that made available from the Company (the "Platform" and/or "Website").
The Website and your use of the Platform may be subject to additional guidelines, terms, or rules, which will be posted on the Website or may be viewed via the Platform , including, without limitation, our pricing page setting out the different subscription plans, our Privacy Policy ("Privacy Policy") and our Responsible Use Policy ("RUP") available at Responsible Use Policy, as we may amend from time to time. All such additional terms, guidelines, and rules are incorporated by reference into these Terms.
Acceptance and Eligibility
By accessing or using Podium, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the service.
You may use Podium only if you can form a binding contract with us and are permitted to use the service under applicable law. You are responsible for complying with the laws and regulations that apply to you.
If you use Podium on behalf of a company, fund, advisory business, or other entity, you represent that you have authority to bind that entity to these Terms.
What Podium Provides
Podium is currently a media company providing investment data, analytics, and an AI-powered educational platform. Podium is not an investment advisor or broker-dealer, and we do not provide tax, legal, accounting, or other professional advice. No regulatory body has reviewed any part of the content published by us. We may provide market data, charts, news, chart outputs, watchlists, watchlist prompts, portfolio analysis, insights, and analytics, trade ideas, model outputs, scans filtered to criteria you provide, research agents in an AI-native trading interface, and AI prompts, and we may use words like buy, sell, hold, add, reduce, trim, hedge, rotate, or rebalance. These are informational only and not part of a separate regulated service offered under separate terms and disclosures.
This applies specifically to the agents product and any similar AI monitoring, notification, messaging, or portfolio-aware workflow on Podium. Agents may take into consideration specific information provided by you to create a custom risk profile and calibrate its answers in line with that risk tolerance in responding. With this information, or otherwise, agents may surface research, summarize developments, highlight risks, rank opportunities, generate trade ideas, provide portfolio-relevant answers, or use decisive language, but those outputs are not investment advice, are not individualized recommendations, are not a promise of future performance, and should not be treated as a basis for making investment decisions without your own independent review.
Content on Podium is general in nature and for educational purposes only. Even where the service uses your connected portfolio, watchlist, prompts, or other inputs to organize or provide context, that functionality does not convert the service into a personalized advisory program, create a fiduciary relationship, or mean that Podium is attempting to act as an investment adviser or broker-dealer.
You remain solely responsible for evaluating any information you see on Podium and for all investing, trading, and tax decisions you make. If you choose to act on any research, screens, rankings, chat outputs, portfolio analysis, or notifications available through Podium, you acknowledge and agree that you do so entirely at your own risk.
AI, Automation, and Content Limitations
Podium uses software models and AI systems to generate outputs. AI and automated systems can be wrong, incomplete, outdated, biased, inconsistent, or misleading. They may generate plausible-sounding but inaccurate statements. You must independently verify any information before relying on it. AI-generated output is provided for informational and educational purposes only and is not guaranteed to be accurate, complete, or suitable for your circumstances.
Agents' outputs may be incomplete, may omit material facts, may rely on delayed or incorrect third-party data, and may present a simplified or directional view of a security, portfolio, or market event. Agents do not know your full financial circumstances, risk tolerance, liquidity needs, time horizon, tax situation, or legal obligations, and they are not a substitute for a licensed financial, legal, or tax professional.
Podium may change or update the Platform and Website (and any services provided therein) at any time, including, without limitation, the availability of any feature, content or database, and may impose limitations or restrictions on certain features and services or discontinue any or all parts of the Platform or Website with or without notice.
Alerts, Notifications, and Monitoring Limits
Podium may provide watchlist alerts, price alerts, market-cap alerts, event alerts, news alerts, digest alerts, portfolio alerts, push notifications, emails, in-app notifications, and similar automated messages based on criteria you set or criteria we make available.
These alerts and notifications are informational only. They are not recommendations, trade instructions, brokerage communications, or promises that any security should be bought, sold, or monitored in a particular way.
Alerting functionality depends on third-party data, connectivity, device settings, platform permissions, and network availability. Alerts may be delayed, incomplete, misfired, duplicated, or never delivered. You remain solely responsible for monitoring your investments, orders, and risk exposures.
Your use of alerts does not create any duty for Podium to monitor markets, your portfolio, or your account continuously or to notify you of every relevant event.
Even if Agents or alerts appear to be continuously watching your portfolio, that does not mean Podium is undertaking an advisory monitoring obligation, supervisory duty, or real-time fiduciary service. You remain solely responsible for monitoring your holdings, trades, and risk.
Market Data, Public Data, and Third-Party Content
Podium relies on third-party data feeds and other external sources. Data may be delayed, incomplete, inconsistent, unavailable, or incorrect. External sources may themselves contain errors or may be filed after the relevant event occurred.
You should use official brokerage statements, exchange feeds, issuer filings, and other primary sources to confirm information before acting on it.
References to external sources and third-party data feeds are informational only. They do not constitute endorsements, suitability determinations, or promises that similar outcomes will recur.
Brokerages and other connected services operate under their own agreements, disclosures, and regulatory obligations.
For connections of your brokerage account(s) to Podium, we use a third-party service, SnapTrade. When you agree to such connection, you also agree to SnapTrade's End User Terms and Conditions set forth at SnapTrade End User Terms and Conditions as a condition of using the brokerage account connection.
Portfolio Connectivity
Brokerage connectivity features are currently provided through SnapTrade and related providers. When you connect a brokerage account, Podium receives portfolio data and trading may be permitted through SnapTrade. Podium cannot execute trades, transfer funds, or modify your brokerage account through current connectivity features. Podium does not receive your broker login credentials directly where the connectivity provider handles that flow. Connected account data may be delayed, stale, incomplete, duplicated, unavailable, or inconsistent with your financial institution's official books and records.
Your use of connectivity features may also be subject to the applicable third-party provider's terms and policies, including SnapTrade's terms, privacy policies, and user authorizations. You are responsible for reviewing connection permissions, disconnecting accounts you no longer want linked, and confirming official balances, holdings, transactions, and account activity with your financial institution.
Accounts, Security, and Acceptable Use
You are responsible for your account credentials, devices, and all activity that occurs under your account. You agree to provide accurate information and to notify us promptly at [email protected] if you suspect unauthorized access.
You may not:
• use Podium in violation of law or regulation;
• scrape, resell, republish, or redistribute protected content or data without permission;
• interfere with the security or operation of the service;
• use the service to provide regulated advice or services to third parties without appropriate authority;
• misrepresent Podium output as guaranteed, official, or personalized professional advice;
• represent that Podium output is an actual fund, brokerage account, live track record, or guaranteed investment result;
• upload asset photos, documents, descriptions, or other content unless you have the right to do so;
• use bots, scripts, or automated means to access the service in a way that burdens our systems or bypasses access controls; or
• attempt to reverse engineer, decompile, or extract source code except as allowed by law.
We may impose product, usage, storage, query, API, prompt, or feature limits at our discretion for security, operational, product, or commercial reasons.
Subscriptions, Billing, and Renewals
Certain features require a paid subscription. Billing may be handled by Stripe or other authorized payment providers. Where third-party billing platform rules conflict with these Terms, the billing platform's mandatory rules control the relevant purchase.
By purchasing a subscription, you authorize the applicable payment provider to charge the applicable recurring fees, taxes, and other disclosed amounts.
Unless otherwise stated, subscriptions renew automatically until canceled. Cancellation will stop future renewals but generally does not retroactively refund amounts already paid except where required by law or stated in our refund policies or the payment provider's rules. You may turn off autorenewal or cancel a Subscription at any time by logging into the platform, going to your Profile > Billing > Plan & Usage and selecting "Manage Plan" and "Cancel Subscription."
We may change pricing, packaging, trials, credits, or feature availability from time to time. If we change the price of a recurring subscription, the new price will apply on a future renewal date after any notice required by applicable law or the billing provider.
Use and Credit Limits
Your use of the Platform may be subject to usage limits, including a maximum number of users and maximum number of messages and integration credits, depending on your selected Subscription plan on the Pricing page. Podium may change such limitations from time to time by notification or an update to the Pricing page. Exceeding the limitations may incur excess charges which will be added to customer fees, provided that you may also elect to pre-purchase additional credits from Podium at the rates determined by us from time to time.
Trial Service; Pre-Released Services
Podium may offer, from time to time, some or all of its services on free trial versions ("Trial Service"). We reserve the right to modify, cancel and/or limit each Trial Service at any time and without liability. In addition, we may offer, from time to time, certain services in alpha or beta versions (the "Pre-Released Services") and will use reasonable effort to identify the Pre-Released Services as such. Pre-Released Services are services that are still under development, and as such they may be incomplete, may contain bugs, suffer disruptions and not operate as intended and designated more than usual.
Third-Party Services and Links
Podium may include or depend on third-party services, websites, content, tools, data feeds, authentication providers, payment processors, app stores, or connectivity providers, including services such as SnapTrade, Stripe, market data providers, communications providers, and any other third party we may link to. Your use of those services may also be governed by their own terms, policies, consents, fees, and disclosures.
We are not responsible for third-party products or services, including their accuracy, security, availability, connectivity, billing practices, data practices, investment outcomes, regulatory status, or legal compliance.
User Inputs, Feedback, and Communications
You retain ownership of prompts, messages, uploads, and other content you submit to the extent you have the legal right to do so. You grant us a non-exclusive, worldwide, royalty-free fully paid, sub-licensable right and license to access, use, modify, translate, process, copy, download, store, distribute, display, publish and prepare derivative works as necessary to operate, secure, improve, and support the service.
If you provide product feedback, suggestions, or ideas, we may use them without restriction or compensation to you.
You consent to receiving electronic communications from us relating to the service, including account notices, billing notices, legal notices, and operational messages.
Intellectual Property
The service, including our software, brand, interfaces, design, text, visual assets, compiled datasets, and derivative outputs protected by law, is owned by Podium Markets Media, LLC or its licensors. Except for limited rights needed to use the service under these Terms, no rights are granted to you.
Disclaimer of Warranties
To the maximum extent permitted by law, Podium is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, availability, or results. We do not warrant that the service will be uninterrupted, secure, error-free, or suitable for trading, investing, banking, lending, appraisal, insurance, compliance, tax, or legal purposes.
Limitation of Liability
To the maximum extent permitted by law, Podium Markets Media, LLC and its affiliates, officers, directors, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or similar damages, or for any loss of profits, revenue, goodwill, data, business opportunity, trading opportunity, or investment value, arising out of or related to your use of Podium.
Without limiting the previous sentence, we will not be liable for losses arising from investment decisions, trading activity, missed opportunities, inaccurate or delayed data, AI output, alerts or notifications that are delayed or not delivered, service interruptions, account compromise, third-party provider failures, brokerage connectivity failures, SnapTrade issues, or third-party data inaccuracies.
To the extent permitted by law, our aggregate liability for all claims arising out of or relating to the service will not exceed the greater of $100 or the amount you paid us for the service in the 3 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
Any Claim you may have arising out of or relating to the Website or Platform must be commenced within one (1) year after the cause of action accrues. Otherwise, such Claim is permanently time barred.
Indemnification
You agree to defend, indemnify, and hold harmless Podium Markets Media, LLC and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against any claims, demands, actions, liabilities, damages, judgments, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of Podium, your content, your violation of these Terms, or your violation of law or third-party rights. This includes claims related to your connected accounts, uploaded content, prompts, agent instructions, or use of third-party services.
Class Action Waiver & Mandatory Arbitration
PLEASE READ THIS SECTION CAREFULLY – IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT, TO HAVE A JURY HEAR YOUR CLAIMS AND TO PARTICIPATE IN CLASS ACTIONS AND SIMILAR COLLECTIVE LAWSUITS. THIS SECTION CONTAINS IMPORTANT PROCEDURES FOR MANDATORY BINDING ARBITRATION AND A CLASS ACTION WAIVER.
Unless prohibited by applicable law, all disputes between you and Podium shall only be resolved on an individual basis and you shall not have the right to bring any claim against us as a plaintiff or a member of a class, consolidated, collective or representative actions (or any other legal proceedings conducted by a group or by representatives on behalf of others).
Arbitration
You and Podium agree that any dispute, controversy, or claim (collectively, "Claim") will be settled by final and binding arbitration, using the English language, administered by JAMS under its Comprehensive Arbitration Rules and Procedures (the "JAMS Rules") then in effect (those rules are deemed to be incorporated by reference into this section, and as of the date of these Terms). Arbitration will be handled by a sole arbitrator in accordance with the JAMS Rules. Judgment on the arbitration award may be entered in any court that has jurisdiction. Any arbitration under these Terms will take place on an individual basis. Class arbitrations and class actions are not permitted. You understand that by agreeing to these Terms, you and Podium are each waiving the right to trial by jury or to participate in a class action or class arbitration.
Notwithstanding the foregoing, you and Podium agree that the following types of disputes will be resolved in a court of proper jurisdiction: (i) disputes or claims within the jurisdiction of a small claims court consistent with the jurisdictional and dollar limits that may apply, as long as it is brought and maintained as an individual dispute and not as a class, representative, or consolidated action or proceeding; (ii) disputes or claims where the sole form of relief sought is injunctive relief (including public injunctive relief); or (iii) intellectual property disputes.
Payment of all filing, administration, and arbitrator costs and expenses will be governed by the JAMS Rules, except that if you demonstrate that any such costs and expenses owed by you under those rules would be prohibitively more expensive than a court proceeding, Podium will pay the amount of any such costs and expenses that the arbitrator determines are necessary to prevent the arbitration from being prohibitively more expensive than a court proceeding (subject to possible reimbursement as set forth below). Fees and costs may be awarded as provided pursuant to applicable law. If the arbitrator finds that either the substance of your Claim or the relief sought in the Claim is frivolous or brought for an improper purpose (as measured by the standards set forth in Federal Rule of Civil Procedure 11(b)), then you agree to reimburse Podium for all monies previously disbursed by it that are otherwise your obligation to pay under the applicable rules. If you prevail in the arbitration and are awarded an amount that is less than the last written settlement amount offered by Podium before the arbitrator was appointed, Podium will pay you the amount it offered in settlement. The arbitrator may make rulings and resolve disputes as to the payment and reimbursement of fees or expenses at any time during the proceeding and upon request from either party made within fourteen (14) days of the arbitrator's ruling on the merits.
Mass Arbitration
If 10 or more demands for arbitration are filed relating to the same or similar subject matter and sharing common issues of law or fact or 10 or more demands for arbitration are submitted by the same law firm or law firms acting in coordination, then you and Podium agree that this will constitute a Mass Arbitration and be conducted pursuant to the JAMS Mass Arbitration Procedures. If, for any reason, JAMS declines to administer the Mass Arbitration or the provisions of this paragraph are found to be unenforceable, the individual arbitrations be administered by JAMS as individual arbitrations consistent with other terms set forth herein.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND PODIUM EACH AGREE THAT ANY PROCEEDING TO RESOLVE ANY DISPUTE, CLAIM OR CONTROVERSY WILL BE BROUGHT AND CONDUCTED ONLY IN THE RESPECTIVE PARTY'S INDIVIDUAL CAPACITY AND NOT AS PART OF ANY CLASS (OR PURPORTED CLASS), CONSOLIDATED, MULTIPLE-PLAINTIFF, OR REPRESENTATIVE ACTION OR PROCEEDING ("CLASS ACTION"). YOU AND PODIUM AGREE TO WAIVE THE RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION. YOU AND PODIUM EXPRESSLY WAIVE ANY ABILITY TO MAINTAIN A CLASS ACTION IN ANY FORUM. IF THE DISPUTE IS SUBJECT TO ARBITRATION, THE ARBITRATOR WILL NOT HAVE THE AUTHORITY TO COMBINE OR AGGREGATE CLAIMS (EXCEPT AS PERMITTED IN THE JAMS MASS ARBITRATION PROCEDURES AND GUIDELINES DISCUSSED HEREIN), CONDUCT A CLASS ACTION, OR MAKE AN AWARD TO ANY PERSON OR ENTITY NOT A PARTY TO THE ARBITRATION. FURTHER, YOU AND PODIUM AGREE THAT THE ARBITRATOR MAY NOT CONSOLIDATE PROCEEDINGS FOR MORE THAN ONE PERSON'S CLAIMS, AND IT MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS ACTION. FOR THE AVOIDANCE OF DOUBT, HOWEVER, YOU CAN SEEK PUBLIC INJUNCTIVE RELIEF TO THE EXTENT AUTHORIZED BY LAW. IF THIS CLASS ACTION WAIVER IS LIMITED, VOIDED, OR FOUND UNENFORCEABLE, THEN, UNLESS THE PARTIES MUTUALLY AGREE OTHERWISE, THE PARTIES' AGREEMENT TO ARBITRATE SHALL BE NULL AND VOID WITH RESPECT TO SUCH PROCEEDING SO LONG AS THE PROCEEDING IS PERMITTED TO PROCEED AS A CLASS ACTION. IF A COURT DECIDES THAT THE LIMITATIONS OF THIS PARAGRAPH ARE DEEMED INVALID OR UNENFORCEABLE, ANY PUTATIVE CLASS, PRIVATE ATTORNEY GENERAL OR CONSOLIDATED OR REPRESENTATIVE ACTION MUST BE BROUGHT IN A COURT OF PROPER JURISDICTION AND NOT IN ARBITRATION.
Suspension, Termination, and Changes
We may modify, suspend, or discontinue any part of the service at any time. We may also suspend or terminate your access if we believe you violated these Terms, created risk for us or others, or if required for legal, security, or operational reasons.
We may update these Terms from time to time. Updated Terms become effective when posted unless a later date is stated.
Upon termination, provisions that by their nature should survive will survive, including provisions relating to intellectual property, disclaimers, liability limitations, indemnification, payment obligations, and dispute-related terms.
Referral and Activity Program
Podium's Referral and Activity Program is subject to Terms and Conditions that can be found inside the Platform. The Terms and Conditions are incorporated herein by reference. The Terms and Conditions may change from time to time, and we reserve the right to change or terminate the Referral and Activity Program at any time without prior notice. Your continued use of the Platform constitutes acceptance of those Terms and Conditions.
Notice of Infringement – DMCA (Copyright) Policy
If you believe that any text, graphics, photos, audio, videos or other materials or works uploaded, downloaded or appearing on the Website have been copied in a way that constitutes copyright infringement, you may submit a notification to our copyright agent in accordance with 17 USC 512(c) of the Digital Millennium Copyright Act (the "DMCA"), by providing the following information in writing:
• identification of the copyrighted work that is claimed to be infringed;
• identification of the allegedly infringing material that is requested to be removed, including a description of where it is located on the Service;
• information for our copyright agent to contact you, such as an address, telephone number and e-mail address;
• a statement that you have a good faith belief that the identified, allegedly infringing use is not authorized by the copyright owners, its agent or the law;
• a statement that the information above is accurate, and under penalty of perjury, that you are the copyright owner or the authorized person to act on behalf of the copyright owner; and
• the physical or electronic signature of a person authorized to act on behalf of the owner of the copyright or of an exclusive right that is allegedly infringed.
Notices of copyright infringement claims should be sent by e-mail to [email protected]. It is our policy, in appropriate circumstances and at our discretion, to disable or terminate the accounts of users who repeatedly infringe copyrights or intellectual property rights of others.
A user of the Services who has uploaded or posted materials identified as infringing as described above may supply a counter-notification pursuant to sections 512(g)(2) and (3) of the DMCA. When we receive a counter-notification, we may reinstate the posts or material in question, in our sole discretion. To file a counter-notification with us, you must provide a written communication to [email protected] that sets forth all of the items required by sections 512(g)(2) and (3) of the DMCA. Please note that you will be liable for damages if you materially misrepresent that content or an activity is not infringing the copyrights of others.
Governing Law and Venue
These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-laws rules. To the extent a dispute is permitted to proceed in court, you and Podium Markets Media, LLC agree to the exclusive jurisdiction and venue of the state and federal courts located in Illinois, except where applicable law requires otherwise.
